    Contract Details

    This Event Agreement between Fleming’s Prime Steakhouse and Wine Bar and the Client named above is made subject to the Event Agreement Terms & conditions listed below.

    EVENT CONFIRMATION: Your Event will be confirmed only upon placing a credit card on file with your signed agreement. If your credit card information is not received with your agreement, your event will be canceled, and Fleming’s Prime Steakhouse & Wine Bar will have no further obligation. You agree and authorize Fleming’s to charge your credit card for the cancellation fees (if applicable) detailed below and for the final payment upon completion of the event, unless another credit card is presented at the completion of the event. All rentals, food, and beverage are subject to applicable tax. Final menu, room arrangements and all details pertaining to your event should be received no less than 10 business days prior to the event date.

    FOOD & BEVERAGE MINIMUM EXPENDITURE: All events are required to meet a minimum dollar amount in food and beverage which is noted in your agreement above. You will be charged for the minimum expenditure as food/beverage, the actual attendance, or the final guaranteed guest count, whichever is greater. This amount refers to food and beverage charges and does not decrease if the expected attendance is not reached. Administration fees, gratuities, sales tax and incidental charges including valet (if applicable), equipment rental fees, gift certificates, takeout food and entertainment do not contribute to the minimum expenditure and will be added to your final bill.

    FINAL (GUARANTEED) GUEST COUNT: The Client is required to provide a final Guest guarantee 48 hours prior to the event start time so that we may properly prepare for your event. Guest count may not be reduced inside of 48 hours prior to the event start time. Upon request, Fleming’s Prime Steakhouse & Wine Bar will set the room for 10% over the guarantee, or the maximum seating capacity if less than 10%.

    GRATUITY: While Fleming’s Prime Steakhouse & Wine Bar suggests a service gratuity of 17% the decision to pay a gratuity to the service staff providing service on the event date, and the amount thereof, is at Client’s sole discretion. By filling in a percentage and initializing in the space provided, Client requests that Fleming’s Prime Steakhouse & Wine Bar include such gratuity on the check presented at the end of the event. The Client retains the discretion to adjust the foregoing amount up or down commensurate with the dining experience.

    FINAL PAYMENT: We do not provide separate checks. Upon completion of the event, one check will be prepared with all food, beverage and incidental charges. Payment of the entire guest check is due upon completion of the event. Fleming’s accepts cash or credit card only. The use of Fleming’s Gift Cards purchased from Costco is not permitted towards payment and will not be accepted. A maximum of $200 in National Account Incentive Certificates may be applied as payment per event. House accounts must be settled in full within 30 days of your event date.

    CONDITION OF AGREEMENT: The Event shall begin promptly at the contracted time and the Event space shall be vacated by the Client at the contracted end time in this agreement. Additional fees many apply if accommodations must be made for extensions on Event times. Extension of the Private Dining Room is subject to availability and the Client will be responsible for any additional charges. The Client agrees to assume full responsibility for the conduct of his/her guests. Damages resulting from guests in attendance of an event will be charged to the Host.

    CANCELLATION POLICIES: If a contracted event is cancelled within 14 days of the date of the event a cancellation fee of one-half the quoted food and beverage minimum will be charged. Cancellations made within 7 days of the event date will result in a cancellation fee equal to the food and beverage minimum stated above in this agreement. You hereby authorize Fleming’s to charge the above cancellation fees to your credit card and agree to pay these charges to your credit card company. All cancellations must be made with the Private Dining Director in writing. For events booked in the month of December, if an event is cancelled within 30 days of the date of the event, the cancellation fee will equal the food and beverage minimum contracted or $70 per person for the guest count originally contracted for, whichever is greater.

    TAX AND ADMINISTRATION FEE: All charges are subject to an administration fee of 3% which does not represent compensation, a tip, or service charge for the service staff providing service to the event. All charges, including food, beverage, room rental, audio visual, décor, outside vendors, rental charges, administration fee (where applicable) are subject to state sales tax. In select locations, the administration fee and any gratuity are taxable per State law. Where required, Fleming’s Prime Steakhouse & Wine Bar will collect State sales tax on these charges.

    DECORATIONS, ADVERTISING, & ENTERTAINMENT: Where allowed, tabletop centerpieces or any other personal decorations must meet local fire department, health department and any other governmental regulations. There is no glitter or confetti allowed in the Private Dining Rooms. Nothing may be affixed to the walls of the restaurant. All decorations, advertising, and outside contracted entertainment including Client signs and banners must be discussed in advance with the Private Dining Director. Fleming’s Prime Steakhouse and Wine Bar reserves the right to limit and/or restrict any banners or other signage containing company logos. Any use of the Fleming’s name and/or logos in any material used by the Client must be approved by Fleming’s, in writing, prior to usage.

    ALCOHOL AND MINORS: Fleming’s Prime Steakhouse & Wine Bar does not permit the serving of alcoholic beverages to anyone who the restaurant (in its sole discretion) determines is intoxicated or who is under the age of twenty-one (21). The Client understands and agrees to abide by this policy and state law regarding the sale of alcoholic beverages.

    HOLD HARMLESS: The Host agrees to hold harmless the restaurant, its partners, associates, agents, officers, directors, affiliates and independent contractors from any and all claims, actions, suits, or allegations for damages to person or property which relates, emanates or in any way pertains to the event other than those resulting from the negligence or misconduct of the restaurant or its employees.

    OUTSIDE NOISE: The Private Dining Rooms are not soundproof. If your event is noise sensitive, please notify the Private Dining Director prior to your event.

    FORCE MAJEURE: Neither party shall be deemed in default of this Agreement to the extent that any delay or failure in the performance of its obligations results from any cause beyond the non-performing party’s control and without such party’s fault or negligence, such as, but not limited to, acts of God, acts of civil or military authority, embargoes, epidemics, pandemics, government regulation or travel advisories, war, acts of terrorism, riots, insurrections, fires, explosions, earthquakes, hurricanes, floods, loss of power, strikes or lockouts (“Force Majeure”) making it illegal, impossible, or commercially impracticable for either Party to the hold the event in whole or in part, or to provide the Services outlined in this Agreement.

    Please note that the total charges and estimated total listed above are NOT equal to your total balance due at the conclusion of your event. This is simply an initial estimate based on the food and beverage pre-selections or the contracted food and beverage minimum.
